WKB advised Infradata Polska on the acquisition of DIM System and Tukan IT

WKB advised Infradata on the acquisition of 100% of shares in DIM System sp. z o.o. and TUKAN IT sp. z o.o. The transaction closed on 31 May, 2019.

DIM System specializes in the delivery, implementation and maintenance of IT security systems (mostly based on McAfee software) by, amongst others, providing advanced cyber-attack, database and web application protection systems, and tools for the management and monitoring of administrative sessions, as well as systems for the analysis, monitoring and management of networks in both private and public institutions. DIM System is recognized as a Platinum Intel Security (McAfee) partner.

Tukan IT is a company which develops its own security software – GREENmod – as well as file and e-mails classification systems for various enterprises. The GREENmod software integrates with Microsoft Office applications and the Microsoft Windows operating system, enforcing the classification of each document created before saving it to the computer’s local disk.

As a result of the purchase of 100% of shares in DIM System, Infradata also became the indirect owner of SOC24 sp. z o. o., a company offering “Security Operation Center” services, which supports the detection and prevention of incidents related to IT security in both private and public institutions.

The firm is a member of Infradata Group – a portfolio entity of IK Investment Partners (private equity fund). As a result of the transaction, Infradata has strengthen its position as one of the leading IT security companies on the market.

WKB provided Infradata with comprehensive legal assistance throughout the entire transaction process, in particular, but not limited to, conducting a legal due diligence analysis of the target companies and negotiating all of the transaction documents (including the share purchase agreement, and the applicable non-compete and non-solicitation agreements), as well as providing organizational and advisory services on matters related to the closing itself and the post-closing actions to be taken.
